OPPORTUNITY REGISTRATION PROGRAM

Exclusivity:

1. The TANDBERG Partner may be provided additional discount above and beyond standard offer for remaining "exclusive" to TANDBERG on the approved opportunity.

2. Exclusivity is defined as not positioning any competitive products to TANDBERG within the approved opportunity. TANDBERG will make determination as to whether the partner meets the exclusivity requirements.

Partner Terms and Conditions:

1. Partner must submit all registration information required by the online registration form.

2. Partner must meet all specified qualification criteria to register an opportunity.

3. Partner must be in good standing with TANDBERG Channel Partner Program.

4. By submitting an application, partner certifies that:

· The customer identified is a valid end user.

· All presales milestones identified with the customer in the application have actually been

performed by the partner.

5. Partner certifies that the amount purchased from TANDBERG or MVAR will not exceed that

purchased by the end customer for the specific registered opportunity.

6. Partner agrees to an audit of end-customer purchase orders upon request from TANDBERG;

TANDBERG may contact the end customer specified in the application at its discretion.

7. Partners found to have violated program rules will be ineligible to register future opportunities, and will forfeit any pending register opportunities. TANDBERG reserves the right to recover fees from fraudulent registrations and to expel the partner from the TANDBERG Channel Partner Program.

8. TANDBERG will determine at its sole discretion whether any opportunity meets the stated criteria for approval.

9. A specific opportunity may be approved for only one (1) partner. If multiple partners attempt to

register the same opportunity, the first complete and valid registration will have priority.

10. The opportunity submitted must meet or exceed $50,000 net revenue in qualifying products.

11. Opportunities approved by TANDBERG will be valid for a maximum of six (6) months from the date of approval. Partner may re-register the same opportunity one time if it expires with no product shipping during the valid time period. Renewal of registration is at the sole discretion of TANDBERG.
